    Overview

    Estate planning attorney Roger Stahl joined Frazer Ryan in 2022 after practicing law in Rochester, Minnesota, for over 30 years.

    In addition to meeting his clients’ commercial and residential real estate needs – including purchase and sale agreements and lease agreements – Roger serves businesses and families as their trusted legal advisor in matters that include business entity formation, succession planning, business purchases and sales, employment law, estate planning, probate, and trust administration.

    Roger’s recent successful transactions include the following:

    • Represented multiple entity sellers in a $45 million sale of assets and real estate (including processing plants, cold storage, and offices) of a multi-state food processing company.
    • Prepared a shared well easement dedication and agreement for a well serving multiple parcels in Yavapai County.
    • Represented the purchaser of $3.2 million commercial/industrial property.
    • Represented the seller of a $700,000 parcel to a national waste removal company.
    • Represented the purchaser of a $1.75 million parcel from a national commercial property owner/investor for development of a restaurant.
    • Represented the seller of a $2.7 million Santa Fe art gallery property.
    • Represented the seller of real estate and assets of a manufactured home park.
    • Represented the purchaser of a $1.8 million commercial complex (with existing leases) for the headquarters of an interstate towing company.
    • Facilitated the valuation and buy-out, incident to shareholder death, with respect to a $5.6 million agricultural drainage company. The valuation was disputed and resolved through arbitration (asserted buy-out price for 50% interest ranged from $1.5 million to $2.9 million; the final price was $1.7 million).
    • Represented the seller in the $3.3 million asset sale of a nationally franchised 5,100-square-foot restaurant in a franchisee to franchisee sale subsequent to the franchisor canceling the prior purchase agreement.
    • Represented a seller regarding the sale and ground lease related to development of a national coffee brand restaurant location.
    • Facilitated the valuation and buy-out incident to a shareholder death with respect to a $1.37 million orthodontic practice, and the related valuation and sale of office complex.
